Terms & Conditions

Welcome to EROTH IMPEX. These Terms & Conditions (“Terms”) govern access to and use of the website operated by EROTH IMPEX (“we”, “our”, “us” or the “Firm”).

EROTH IMPEX is a partnership firm based at 4-B Shraddha Shree Colony, MR-9 Road, Indore, Madhya Pradesh – 452001, India, represented by its partners, Suraj Soni and Vikesh Soni.

We provide import-export, global sourcing, export support, import support and packaging-related business services. By accessing or using our website, you agree to these Terms. If you do not agree, please discontinue using the website.

Effective Date: 16 October 2026
Last Updated: 16 October 2026

1. Scope of Website and Services

The website provides information about our business, product categories and services and allows prospective customers and business partners to contact us or request quotations.

Our services may include global sourcing of products from India; sourcing and supplier coordination; export support for Indian businesses; import support for Indian businesses sourcing from overseas; supply and coordination of packaging products; and commercial communication and coordination relating to proposed trade transactions.

The precise scope of any service will depend on the relevant enquiry, quotation, written agreement and transaction-specific terms.

2. Product Information and Availability

Our website may display or describe food and natural products, fresh farm produce, agricultural commodities and packaging solutions.

Product descriptions, photographs, specifications and other website information are provided for general information and preliminary enquiry purposes.

Actual availability, quality, grade, dimensions, packaging, origin, certifications, shelf life, quantity, price and delivery conditions may vary depending on the product, supplier, season, destination and applicable requirements.

A product displayed on the website does not automatically constitute a binding offer to sell or a guarantee of availability. All product details must be confirmed in the relevant written quotation or order documentation before a transaction is finalised.

3. Enquiries and Quotations

Submitting a contact form, sending a WhatsApp message or requesting a quotation does not automatically create a purchase contract, supply commitment or agency relationship.

Quotations may depend on product specifications, quantity, supplier availability, packaging, currency, taxes, transportation, freight, insurance, customs charges, destination requirements and other commercial factors.

Unless expressly stated otherwise in writing, a quotation is subject to confirmation and may be revised if relevant commercial circumstances change before acceptance.

A binding transaction will arise only when the applicable offer, quotation, purchase order or other written commercial terms have been accepted or confirmed by the relevant parties.

4. Orders and Separate Commercial Agreements

EROTH IMPEX does not currently provide online checkout or accept payments directly through the website.

Orders, payment arrangements and other commercial commitments are agreed separately through quotations, purchase orders, invoices or written agreements.

Before confirming an order, the parties should establish the applicable terms, including product description and specifications; quantity and packaging; price, currency, taxes and applicable charges; payment schedule and payment method; delivery location and expected timeline; freight, insurance and customs responsibilities; inspection, acceptance, shortage, damage and quality-claim procedures; and cancellation, replacement, refund or other remedies, where applicable.

Where a separate written agreement or accepted order document governs a transaction, that document will govern the relevant commercial matters to the extent of any inconsistency with these general website Terms.

5. Global Sourcing

Our global sourcing service assists businesses in identifying and evaluating potential product and supplier options in India.

Depending on the agreed scope, this may include supplier identification, product and specification coordination, preliminary availability discussions, comparison of supply options, sample coordination where available and communication between prospective buyers and suppliers.

Supplier availability, samples, prices, certifications, production capacity and other information may require independent verification before an order is placed.

Unless expressly agreed in writing, we do not guarantee that a particular supplier, product, sample, quantity or price will be available.

6. Export Support

Our export support services may assist Indian businesses, manufacturers, suppliers and producers seeking to explore or conduct international trade.

Depending on the agreed scope, support may include preliminary export guidance, commercial coordination, documentation assistance, logistics coordination and other export-related services.

Any merchant-exporting arrangement, where offered, will be governed by a separate written agreement defining the parties' roles, responsibilities, pricing and applicable trade terms.

We do not guarantee export orders, overseas buyers, sales volumes, profitability, market acceptance or successful customs clearance.

Exporters and other parties remain responsible for ensuring that their products and transactions comply with applicable laws, licences, quality standards and destination-country requirements, except to the extent a specific responsibility is expressly accepted by us in writing.

7. Import Support

Our import support services may assist Indian businesses seeking products or suppliers from overseas markets.

Depending on the agreed scope, this may include supplier identification, product specification coordination, commercial communication, documentation coordination, freight arrangements and coordination with customs brokers or other service providers.

Import transactions may be affected by customs classification, duties, taxes, product restrictions, permits, inspection requirements, foreign exchange rules, transport schedules and destination regulations.

Unless expressly agreed in writing, we do not guarantee supplier performance, import approvals, customs clearance, delivery dates or the commercial success of an import transaction.

The importer and other relevant parties remain responsible for their applicable legal, regulatory and tax obligations.

8. Packaging Solutions

We may offer or coordinate packaging products such as FIBC bags, BOPP bags, jute bags, corrugated boxes, cartons, plastic carry bags, grain bags and container liners.

Customisation may be available depending on the product, material, dimensions, printing requirements, order quantity and supplier capabilities.

Final specifications, tolerances, artwork, printing, quantity, quality standards and delivery terms must be confirmed in writing before production or order acceptance.

Any custom packaging order will be subject to the relevant quotation and agreed commercial terms.

9. Pricing, Taxes and Other Charges

Unless expressly stated otherwise in a written quotation, website information does not constitute a final price offer.

The final transaction price may include or exclude applicable taxes, duties, freight, insurance, handling, packaging, inspection, storage, customs clearance and other charges, as specified in the relevant quotation or agreement.

Any changes to costs or requirements will be addressed in accordance with the agreed transaction terms.

Customers are responsible for reviewing the quotation and confirming the applicable costs before accepting an order.

10. Payment Terms

Payment terms will be communicated separately in the relevant quotation, invoice or written agreement.

These may include advance payment, milestone payments, balance payments or other arrangements agreed by the parties.

No payment should be treated as due solely because a product or service is mentioned on the website. Payment obligations arise under the applicable accepted commercial documents.

Where a third-party payment service is used for a separately agreed transaction, its applicable terms and security procedures may also apply.

11. Shipping, Delivery and Delays

Delivery arrangements and responsibilities will be set out in the relevant quotation or written agreement.

Delivery timelines may be estimates and can be affected by supplier readiness, seasonal availability, production schedules, transport capacity, weather, port congestion, customs inspections, documentation issues, government actions and other circumstances beyond reasonable control.

We will communicate material delays where reasonably practicable, but unless expressly agreed otherwise in writing, we do not guarantee a particular delivery date.

Responsibility for freight, insurance, customs clearance, duties, risk of loss and transfer of title will be determined by the applicable transaction documents and any agreed trade terms, including Incoterms where specified.

12. Quality, Inspection, Shortage and Claims

Product specifications, inspection procedures, acceptance criteria and quality requirements should be recorded in the applicable quotation or written agreement.

Customers should inspect products and packaging upon receipt, where reasonably practicable, and promptly notify the relevant contracting party of any apparent shortage, damage, defect or non-conformity.

The applicable agreement should specify the procedure and timeframe for submitting claims and the supporting documents required, such as photographs, inspection reports, delivery records or test results.

Any replacement, refund, credit, repair or other remedy will be determined by the applicable written agreement and relevant law.

Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded.

13. Cancellation, Refunds and Order Changes

Cancellation, refund and order-change conditions are not fixed universally by these website Terms.

They will be determined by the accepted quotation, purchase order, invoice, separate written agreement and applicable law.

This is particularly relevant to custom-made packaging, perishable agricultural products, goods procured specifically for a customer, products already dispatched and orders involving non-refundable third-party costs.

Customers should obtain written confirmation of cancellation, refund, replacement and order-change conditions before confirming an order.

Nothing in this section is intended to remove any non-excludable legal right.

14. Regulatory Compliance and Customer Responsibilities

Each party must comply with the laws and regulations applicable to its role in a transaction.

Depending on the product and destination, this may include requirements concerning import-export authorisations, customs, taxation, food safety, agricultural products, labelling, packaging, product standards, sanctions, restricted goods and other applicable trade controls.

Customers must provide accurate product requirements, delivery information, business details and documentation reasonably required for a transaction.

No party should request or use our services to facilitate unlawful trade, fraud, misrepresentation or prohibited transactions.

15. No Guarantee of Commercial Outcomes

EROTH IMPEX provides sourcing and trade support based on the scope agreed with the customer.

We do not guarantee that an enquiry will result in an order, that a supplier or buyer will accept commercial terms, that a market opportunity will be profitable, or that a transaction will achieve a particular sales or financial outcome.

Any forecasts, estimates or preliminary information are indicative unless expressly confirmed as binding in a written agreement.

16. Website Content and Intellectual Property

Unless otherwise stated, the website content, text, branding, graphics, logos, design elements and original materials associated with EROTH IMPEX are owned by or used with permission by the Firm.

You may view and use the website for legitimate personal or business enquiry purposes.

You must not reproduce, republish, distribute, modify, commercially exploit or use our intellectual property without prior written permission, except where permitted by applicable law.

Product names, third-party trademarks and supplier materials remain the property of their respective owners.

17. Acceptable Website Use

You agree not to use the website for unlawful or fraudulent purposes; submit false, misleading or unauthorised information; attempt to interfere with website security or functionality; introduce malicious code or attempt unauthorised access; collect or misuse other users' information; or use the website in a manner that infringes the rights of others.

We may take reasonable measures to restrict access where misuse, security threats or unlawful activity is reasonably suspected.

18. Third-Party Services

Our business and website may rely on third-party services, including WhatsApp, website hosting providers, courier companies, freight forwarders, logistics operators, customs brokers and payment service providers.

These third parties may operate under their own terms, policies and service conditions.

Unless expressly agreed in writing, EROTH IMPEX is not responsible for independent third-party services, decisions, systems or delays beyond our reasonable control. Any responsibilities that we expressly accept under a separate written agreement will remain subject to that agreement and applicable law.

19. Limitation of Liability

To the maximum extent permitted by applicable law, EROTH IMPEX will not be liable for indirect, incidental, special or consequential losses arising from the use of the website or from reliance on general website information, including loss of anticipated profits, business opportunities or data.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, or for obligations expressly accepted under a separate written agreement.

Any additional limitation of liability relating to a particular transaction must be expressly agreed in writing and must comply with applicable law.

20. Indemnity

To the extent permitted by applicable law, a user or customer may be responsible for losses, claims or expenses arising directly from their unlawful conduct, fraud, material misrepresentation or breach of an applicable agreement.

This provision does not create liability for matters for which the user or customer is not legally responsible, and does not override any non-excludable legal rights.

21. Force Majeure

Neither party will be responsible for a failure or delay to the extent caused by events beyond its reasonable control, which may include natural disasters, severe weather, war, civil unrest, epidemic events, government restrictions, port closures, transport disruption, strikes, power or communications failures, or other comparable events.

The affected party should notify the other party within a reasonable time where practicable and take reasonable steps to reduce the impact.

Any cancellation, allocation of additional costs or termination rights arising from such an event will be governed by the applicable written agreement and law.

22. Privacy

Our collection and use of personal information are described in our Privacy Policy, which should be read together with these Terms.

By submitting information through our website or contacting us, you should provide information that is accurate and that you are authorised to share.

23. Changes to These Terms

We may update these Terms to reflect changes in our website, services, business practices or legal obligations.

The updated version will be published on this page with a revised “Last Updated” date. Changes to an already accepted commercial transaction will be governed by the applicable agreement and law.

24. Governing Law and Jurisdiction

These Terms are governed by the laws of India.

Subject to applicable law and any valid dispute-resolution clause in a separate written agreement, the courts of competent jurisdiction in Indore, Madhya Pradesh, India, shall have jurisdiction over disputes arising from these Terms.

Nothing in this clause removes any mandatory legal rights or jurisdictional requirements.

25. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

Any invalid or unenforceable provision will be interpreted or limited only to the extent necessary to make it enforceable where legally permissible.
